1. APPLICATION

4. OWNERSHIP

All risk in the goods shall pass to the Purchaser on collection from the company’s premises by such carrier the Company may engage on the Purchaser’s behalf. Delivery of the goods or the supply of the services as the case may be, shall be affected by the Company to the purchaser at an address as reflected in the quotation.
7. PRICES

8. PAYMENT

9. WARRANTY
- The Company warrants its goods to be free from defects in materials and workmanship under normal use, service and conditions and provided that the said equipment has been installed in compliance with all applicable regulations and by suitably qualified The Company agrees to make any necessary repairs resulting from defective parts or workmanship.

11. INTELLECTUAL PROPERTY RIGHTS

12. CUSTOMER SUPPORT, SERVICE AND DISCONTINUANCE OF PRODUCTS

The Purchaser agrees to pay for travel and living expenses for its personnel.

- When requested and agreed by the Company, the Company will provide on site technical engineering support for special situations where the Purchaser has been unable to correct
problems associated with the goods. The Company shall invoice the Purchaser for such on-site support at the Company’s prevailing service ratios.
- The Company shall provide the Purchaser with oral and written technical engineering support for the goods during the Company’s normal business

- The Purchaser is responsible for any damage occurring to the goods during transit and for any claims arising

In the event that the Company discontinues any product, the Company agrees to sell to the Purchaser such quantities of spares or replacement parts for the goods as the Purchaser may reasonably require and to service the goods for a period of five
(5) years after the date of notification of discontinuance, subject to the availability of components or functional equivalents from the Company’s suppliers.
13. PERMITS: DUTIES AND TAXES
Any Contract between the Company and the Purchaser is subject to the grant of all permits (including import or export permits) required in respect of the subject matter thereof, and whilst the Company will act as the Purchaser’s agent for the purpose of endeavouring to obtain such permits, the Purchaser shall promptly provide whatever information, assistance, documentation and/or guarantees or deposits which may be required for that purpose, providing that the Company shall not be responsible for establishing the Purchaser’s eligibility for any exemption from any taxes, levies or duties.
14. INTERPRETATION
The headings in this document shall not be taken into account in the interpretation thereof and unless the context otherwise requires, terms used herein shall bear the meanings normally ascribed to them in the electronics industry.
15. SOLE AGREEMENT
These terms and conditions and the relevant quotation constitute the exclusive record of the Contract between the Company and the Purchaser relating to the subject matters thereof, and accordingly:
- No warranty, representation, undertaking, guarantee or other terms or conditions of whatever nature not contained and/or recorded herein (together with the quotation) shall be binding on any party with regard to such subject matters, and
- No variation, modification or waiver of any provision thereof, or consent to any departure therefrom by any party, shall be of any force or effect unless the same is confirmed in writing, and signed by both parties, and in any event the same shall be effective only in the specific instance and for the purpose and the extent for which made or given.
16. DOMICILIA
For all purposes under these terms and conditions or any amendment thereof, or with regard to any matter arising there out or in connection herewith, the parties hereby choose their domicilia citandi et executandi at their respective addresses specified in the quotation, provided that any party shall be entitled to nominate a substitute address for that party’s domicilium citandi et executandi, by written notice to that effect given to the other party.
17. NOTICES
Any notice required or permitted to be given by any party to another in terms of these terms and conditions shall be in writing addressed in the name of the latter (and marked for the attention of its Chairman or marked for the attention of its Managing Director where the party is a Company), and shall be delivered to the addressee at the addressee’s domicilia citandi et executandi established for the time being in terms thereof.
18. BREACH
The agreement may be cancelled by the Company or the Purchaser (“the aggrieved party”) if the other (“the defaulting party”) commits an act of insolvency, or commits a breach of any provision of the agreement;
- which is remediable and fails to remedy such breach within a reasonable period after the aggrieved party has given written notice to the defaulting party requiring such remedy (for which purpose seven days shall be deemed to be a reasonable period for the making of any payment due under the agreement), or
- which is irremediable and constitutes a material breach of a material provision of the

19. CONSEQUENTIAL LIABILITY
Notwithstanding any other provisions, the Company shall not be liable for any indirect, special or consequential damages in any way arising out of a defect in the goods or out of the incorrect use or misuse of the goods.
20. APPLICABLE LAWS
These conditions or any special terms, conditions, stipulations or provisions incorporated in the contract shall be subject to any interpreted in accordance with the laws of the Republic of South Africa.
